Coatcha™ Marketplace Terms of Service

1. Welcome

Welcome to Coatcha™, a technology marketplace operated by Really Popular LLC ("Coatcha," "we," "our," or "us").

Coatcha connects independent coaches, sports facilities, organizers, athletes, participants, and other users so they can discover one another, communicate, schedule activities, reserve facilities, and complete bookings.

Coatcha is not a sports club, coaching company, event organizer, facility operator, employer, insurer, travel agency, or transportation provider. Unless expressly stated otherwise, Coatcha provides only the technology that enables Marketplace Participants to interact with one another.

Bookings, coaching sessions, facility rentals, sporting events, leagues, tournaments, clinics, camps, and all other activities available through the Marketplace are offered and performed by independent Marketplace Participants—not by Coatcha.

By accessing or using the Marketplace, creating an Account, making a Booking, publishing a Listing, or clicking "Accept," "Continue," "Book," "Register," or any similar button, you agree to be bound by these Terms, our Privacy Policy, and any additional policies incorporated by reference.

If you do not agree, you must not access or use the Marketplace.

2. Definitions

For purposes of these Terms:

  • Account means a registered Coatcha user account.
  • Applicable Law means any law, regulation, ordinance, rule, court order, or governmental requirement applicable to a User or the Marketplace.
  • Booking means a confirmed reservation, registration, purchase, or scheduled activity completed through the Marketplace.
  • Coach means an independent individual or organization offering instruction, training, lessons, or related services through Coatcha.
  • Content means any information, text, photographs, videos, audio, reviews, ratings, messages, documents, logos, graphics, or other material submitted, uploaded, transmitted, or displayed through the Marketplace.
  • Facility means any court, field, gym, venue, studio, club, or other location listed or booked through Coatcha.
  • Listing means any profile, advertisement, event, activity, availability, service, or facility published through the Marketplace.
  • Marketplace means all websites, mobile applications, software, technology, and services operated by Coatcha.
  • Marketplace Participant means any User, Coach, Facility, Organizer, Participant, business, or other independent person or entity using the Marketplace.
  • Organizer means any person or organization creating, managing, or hosting sporting activities or events.
  • Participant means any individual attending or participating in a Booking or activity.
  • Privacy Policy means Coatcha's Privacy Policy, as updated from time to time.
  • Terms means these Marketplace Terms of Service.
  • User means any person or entity accessing or using the Marketplace.

3. Eligibility

You may use the Marketplace only if:

  • you have the legal capacity to enter into a binding agreement;
  • your use complies with Applicable Law;
  • you provide accurate and complete information;
  • you are not prohibited from using the Marketplace under Applicable Law or these Terms.

If you use the Marketplace on behalf of a business, school, club, nonprofit organization, or other legal entity, you represent that you have authority to bind that organization to these Terms.

We may refuse access or terminate Accounts where permitted by Applicable Law.

3.1 Minors

Individuals under the age of majority may use the Marketplace only with the authorization and supervision of a parent or legal guardian, or as otherwise permitted by Applicable Law.

Parents and legal guardians are responsible for:

  • supervising minors;
  • approving Bookings;
  • accepting these Terms on the minor's behalf where required;
  • ensuring compliance with applicable waivers and safety requirements.

Nothing in these Terms limits additional requirements imposed by Coaches, Facilities, Organizers, or Applicable Law.

4. User Accounts

Some Marketplace features require an Account.

You agree to:

  • provide accurate and current information;
  • maintain the security of your login credentials;
  • promptly update inaccurate information;
  • keep your contact information current;
  • notify us of unauthorized access to your Account.

You are responsible for all activity occurring through your Account unless prohibited by Applicable Law.

You may not:

  • impersonate another person;
  • create Accounts using false identities;
  • share Accounts without authorization;
  • circumvent suspensions or restrictions;
  • sell or transfer Accounts without our written permission.

We may suspend or terminate Accounts that violate these Terms or threaten the security or integrity of the Marketplace.

5. Marketplace Overview

Coatcha provides technology that enables Marketplace Participants to connect, communicate, schedule, book, and pay for sports-related activities.

Marketplace features may include coach discovery; facility reservations; leagues and tournaments; clinics and camps; pickup games; scheduling; messaging; payments; ratings and reviews; and additional services we introduce over time.

We may modify, add, suspend, or discontinue Marketplace features at any time.

5.1 Independent Marketplace

Coatcha is solely a technology marketplace.

Unless expressly stated otherwise, Coatcha does not employ Coaches; supervise sporting activities; own or operate Facilities; certify qualifications; inspect equipment; organize events; guarantee Listings; guarantee Bookings; guarantee safety; guarantee availability; guarantee outcomes.

Marketplace Participants act independently and are solely responsible for their own conduct, services, facilities, equipment, pricing, schedules, communications, and legal obligations.

Bookings create agreements directly between Marketplace Participants. Coatcha is not a party to those agreements except as the provider of the Marketplace and, where applicable, payment processing services.

5.2 Changes to These Terms

We may update these Terms from time to time. When changes are material, we will provide notice as required by Applicable Law. Your continued use of the Marketplace after updated Terms become effective constitutes acceptance of those changes.

5.3 Additional Policies

The following policies are incorporated into these Terms and form part of your agreement with Coatcha:

  • Privacy Policy
  • Community Standards
  • Cancellation Policy
  • Safety Guidelines
  • Payment Policies
  • any additional policies published through the Marketplace

If these Terms conflict with a separate policy, these Terms control unless the policy expressly states otherwise.

Part II — Marketplace Services

6. Listings

Marketplace Participants may create Listings to offer coaching, facilities, sporting activities, events, or other services through Coatcha.

Each Listing must be truthful, complete, current, and comply with these Terms and Applicable Law.

Users are solely responsible for the accuracy of their Listings, including pricing, availability, descriptions, qualifications, certifications, locations, schedules, photographs, equipment, eligibility requirements, cancellation terms, and any other information provided.

Listings may not contain false, misleading, fraudulent, discriminatory, unlawful, or infringing content.

Coatcha may edit, suspend, reject, remove, or restrict any Listing that violates these Terms, Applicable Law, or the integrity of the Marketplace.

Publication of a Listing does not constitute Coatcha's approval, endorsement, certification, or guarantee of the Listing or the Marketplace Participant who created it.

6.1 Listing Availability

Marketplace Participants are responsible for maintaining accurate availability. If a Listing becomes unavailable, inaccurate, or cannot be honored, the Marketplace Participant must promptly update or remove the Listing. Repeated cancellations or inaccurate Listings may result in penalties, reduced visibility, suspension, or termination.

6.2 Marketplace Standards

Marketplace Participants are expected to maintain professional, respectful, and lawful Listings. Coatcha may establish quality standards, verification programs, badges, rankings, featured placements, or similar Marketplace programs. Participation in these programs does not constitute a warranty, certification, or endorsement.

7. Bookings

A Booking is formed when all required approvals have been completed and any required payment has been successfully authorized. Each Marketplace Participant is responsible for reviewing the terms of a Booking before confirming it.

Booking details may include date and time; location; pricing; participant requirements; equipment requirements; cancellation terms; safety information; any additional Listing-specific conditions.

Marketplace Participants are responsible for honoring confirmed Bookings unless cancellation is permitted under these Terms or Applicable Law.

7.1 Booking Changes

Changes requested after confirmation require the agreement of the affected Marketplace Participants unless otherwise required by Applicable Law. Coatcha may facilitate modifications but is not obligated to resolve scheduling disputes between Users.

7.2 Off-Platform Transactions

Marketplace Participants may not use Coatcha to identify one another and intentionally complete transactions outside the Marketplace to avoid fees, policies, protections, or other Marketplace requirements. If we determine that Users intentionally circumvent the Marketplace, we may suspend Accounts; terminate Accounts; cancel Bookings; recover unpaid Marketplace fees; remove Listings; pursue any other remedy available under Applicable Law.

7.3 User-to-User Agreements

Bookings are agreements between independent Marketplace Participants. Coatcha is not responsible for negotiating, enforcing, supervising, or guaranteeing those agreements.

8. Payments

Payments made through Coatcha are processed by independent third-party payment providers. By submitting payment information, you authorize the applicable payment provider and, where permitted, Coatcha to charge your selected payment method for all amounts due. Payment providers may establish additional terms governing payment processing.

8.1 Marketplace Fees

Coatcha may charge Marketplace fees, service fees, booking fees, subscription fees, advertising fees, commissions, payment processing fees, or other disclosed charges. Applicable fees will be presented before confirmation whenever required by Applicable Law. We may modify fees prospectively by updating the Marketplace or providing notice where required.

8.2 Taxes

Each Marketplace Participant is solely responsible for determining, collecting, reporting, and paying all applicable taxes arising from their use of the Marketplace unless Applicable Law requires Coatcha to collect or remit taxes on their behalf.

8.3 Currency

Bookings may be displayed in multiple currencies. Exchange rates and foreign transaction fees are determined by financial institutions and payment providers, not Coatcha.

8.4 Failed Payments

If a payment cannot be completed, Coatcha may cancel the Booking; suspend Marketplace access; retry payment where permitted; recover unpaid amounts; recover applicable fees; pursue any lawful remedy.

8.5 Chargebacks

Improper chargebacks, payment disputes initiated in bad faith, or attempts to avoid valid payment obligations may result in Account suspension; termination; collection efforts; recovery of associated costs; restriction of future Marketplace use.

Nothing in this section limits any right to raise a legitimate billing dispute under Applicable Law.

8.6 Payment Holds

To protect the Marketplace, Coatcha or its payment providers may temporarily delay, hold, or restrict payments when reasonably necessary to investigate fraud; verify identity; comply with Applicable Law; satisfy payment network requirements; resolve disputes; protect Marketplace Participants.

A payment hold does not imply wrongdoing.

9. Cancellations & Refunds

Cancellation rights are governed by the applicable Listing; Coatcha's Cancellation Policy; Applicable Law.

Refund eligibility depends on the circumstances of the cancellation and any applicable legal requirements. Approved refunds are generally returned to the original payment method. Financial institutions may require additional processing time.

9.1 Provider Cancellations

If a Coach, Facility, Organizer, or other Marketplace Participant cancels a confirmed Booking, Coatcha may facilitate rescheduling; replacement providers; refunds; Marketplace penalties; Listing restrictions; Account suspension. Repeated cancellations may reduce Marketplace visibility or result in termination.

9.2 Extraordinary Events

Where appropriate, Coatcha may reasonably modify cancellation outcomes for events beyond a Marketplace Participant's reasonable control, including severe weather, natural disasters, government restrictions, public health emergencies, armed conflict, transportation disruptions, or similar extraordinary circumstances.

10. Marketplace Integrity

To maintain a trusted Marketplace, Users agree not to:

  • submit false information;
  • manipulate ratings or reviews;
  • impersonate another person;
  • create multiple Accounts to evade enforcement;
  • interfere with Marketplace operations;
  • use automated tools without authorization;
  • introduce malware or harmful code;
  • harvest Marketplace data;
  • spam other Users;
  • engage in fraud;
  • facilitate illegal activity;
  • violate Applicable Law.

Coatcha may investigate suspected violations, cooperate with law enforcement where appropriate, and take any action reasonably necessary to protect the Marketplace and its Users.

Part III — Safety, Assumption of Risk & Insurance

11. User Responsibilities

Marketplace Participants are solely responsible for their own conduct, decisions, services, communications, facilities, equipment, compliance with Applicable Law, and interactions with others.

By using the Marketplace, you agree to:

  • comply with these Terms and Applicable Law;
  • provide accurate information;
  • honor confirmed Bookings unless cancellation is permitted;
  • communicate respectfully and honestly;
  • maintain any licenses, certifications, permits, or insurance required for your activities;
  • use appropriate judgment before participating in any activity; and
  • promptly report fraud, illegal activity, unsafe conditions, or material policy violations.

Each Marketplace Participant remains solely responsible for evaluating whether another Marketplace Participant, activity, facility, or service is appropriate for their needs.

11.1 Independent Decisions

Coatcha does not direct, supervise, or control the decisions of Marketplace Participants. Each User independently decides whether to create a Listing; whether to accept a Booking; whether to participate in an activity; whether to rent a Facility; whether another Marketplace Participant is suitable. All such decisions are made solely at the User's own discretion and risk.

12. Safety

Safety is a shared responsibility among Marketplace Participants. Although Coatcha seeks to promote a trustworthy Marketplace, we cannot guarantee the safety, legality, quality, availability, or conduct of any Marketplace Participant, Booking, Listing, Facility, Coach, Organizer, activity, or event.

Before participating in any activity, each User is responsible for considering factors including personal fitness and health; experience and skill level; weather and environmental conditions; equipment condition; facility condition; supervision requirements; local laws and regulations; and any other circumstances relevant to the activity.

Participation should stop immediately if conditions become unsafe. In an emergency, contact local emergency services immediately. Coatcha does not provide emergency response services.

12.1 Equipment & Facilities

Unless expressly stated otherwise, Marketplace Participants are solely responsible for ensuring that any equipment or facilities they own, provide, rent, or use are safe; properly maintained; suitable for the intended activity; and compliant with Applicable Law. Coatcha does not inspect, certify, maintain, or guarantee equipment or facilities.

12.2 Reporting Safety Concerns

Users are encouraged to report unsafe conditions; fraud; harassment; discrimination; illegal activity; injuries; dangerous equipment; significant policy violations. Coatcha may investigate reported concerns but has no obligation to investigate every report or guarantee any particular outcome.

13. Medical Disclaimer

Coatcha does not provide medical advice; healthcare services; athletic training; physical therapy; rehabilitation services; emergency medical services; medical supervision.

Any health, wellness, fitness, or sports-related information available through the Marketplace is provided solely for general informational purposes. Users should consult qualified healthcare professionals before participating in physical activities whenever appropriate. In any medical emergency, immediately contact local emergency services.

14. Insurance

Unless expressly stated otherwise, Coatcha does not provide insurance coverage for Marketplace Participants; Coaches; Facilities; Organizers; Participants; spectators; property; equipment; sporting activities; events.

Each Marketplace Participant is solely responsible for determining whether insurance is appropriate or legally required for their activities. If Coatcha requests proof of insurance or displays insurance-related information, this does not constitute verification, certification, approval, or a guarantee that coverage exists or is adequate.

Optional insurance products offered through the Marketplace, if any, are provided solely by independent third-party insurance providers and remain subject to their own terms and conditions.

15. Assumption of Risk

Sports, recreation, physical exercise, and related activities involve inherent risks that cannot be eliminated, even when reasonable care is exercised.

These risks include, without limitation: falls; collisions; equipment failure; weather conditions; facility conditions; actions of other participants; physical exertion; illness; permanent disability; property damage; death.

By using the Marketplace or participating in any Booking, you voluntarily assume all risks arising from your participation, whether known or unknown, foreseeable or unforeseeable, to the fullest extent permitted by Applicable Law.

15.1 Personal Responsibility

Each Marketplace Participant is solely responsible for determining whether they are physically, mentally, medically, legally, and otherwise capable of safely participating in an activity.

Users are responsible for following safety instructions; using appropriate equipment; complying with Applicable Law; exercising reasonable judgment; discontinuing participation whenever conditions become unsafe.

Participation in Marketplace activities is entirely voluntary.

15.2 Minors

A parent or legal guardian authorizing a minor's participation represents that they have legal authority to do so and accepts responsibility for the minor's supervision, participation, and compliance with all applicable requirements. Nothing in these Terms replaces any separate waiver, consent form, or authorization required by a Coach, Facility, Organizer, school, league, or Applicable Law.

Part IV — Release, Indemnification & Limitation of Liability

16. Release of Liability

To the fullest extent permitted by Applicable Law, you release and discharge Coatcha, Really Popular LLC, and their affiliates, subsidiaries, owners, officers, directors, employees, contractors, licensors, agents, successors, assigns, and service providers (collectively, the "Released Parties") from all claims, demands, actions, damages, losses, liabilities, costs, and expenses arising out of or relating to:

  • your use of the Marketplace;
  • any Listing or Booking;
  • sporting activities or events;
  • facilities or equipment;
  • communications between Marketplace Participants;
  • acts or omissions of Marketplace Participants or third parties; or
  • personal injury, illness, death, property damage, financial loss, or other damages associated with Marketplace activities,

except to the extent liability cannot legally be excluded under Applicable Law.

This release applies regardless of whether the claim arises in contract, tort (including negligence), statute, or any other legal theory, to the fullest extent permitted by law. Nothing in these Terms limits rights that cannot legally be waived.

16.1 User-to-User Disputes

Bookings are agreements between independent Marketplace Participants. Coatcha is not responsible for disputes relating to performance of services; coaching quality; scheduling; pricing; facilities; cancellations; refunds; equipment; injuries; property damage; or any other dispute arising between Marketplace Participants.

Coatcha may, but is not obligated to, assist in resolving disputes. Any assistance provided does not create a legal duty or make Coatcha responsible for the outcome.

16.2 Property

Marketplace Participants are solely responsible for protecting their personal property. Coatcha is not responsible for property that is lost, stolen, damaged, forgotten, or destroyed during Marketplace activities.

17. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against all claims, demands, actions, investigations, judgments, settlements, damages, losses, liabilities, penalties, fines, costs, and reasonable attorneys' fees arising out of or relating to:

  • your use of the Marketplace;
  • your Listings;
  • your Bookings;
  • your Content;
  • your communications;
  • your negligence or misconduct;
  • your violation of these Terms;
  • your violation of Applicable Law;
  • your infringement of another person's rights;
  • your breach of any agreement with another Marketplace Participant.

You agree to reasonably cooperate with Coatcha in the defense of any claim covered by this section. These obligations survive termination of your Account.

18. Disclaimer of Warranties

The Marketplace is provided "AS IS" and "AS AVAILABLE."

To the fullest extent permitted by Applicable Law, Coatcha disclaims all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability; fitness for a particular purpose; title; non-infringement; quiet enjoyment; accuracy; reliability; security; continuous availability.

Coatcha does not warrant that the Marketplace will operate without interruption; Listings are accurate; Bookings will occur as scheduled; Marketplace Participants will perform their obligations; communications will be secure; services will meet your expectations; errors will be corrected immediately.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, this section applies only to the extent permitted by Applicable Law.

19. Limitation of Liability

To the fullest extent permitted by Applicable Law, the total aggregate liability of the Released Parties arising from or relating to the Marketplace shall not exceed the greater of:

  • US $100, or
  • the total Marketplace fees paid directly to Coatcha by you during the twelve (12) months immediately preceding the event giving rise to the claim.

To the fullest extent permitted by Applicable Law, the Released Parties shall not be liable for indirect damages; incidental damages; consequential damages; special damages; exemplary damages; punitive damages; lost profits; lost revenue; lost business opportunities; loss of goodwill; loss of data; interruption of business; emotional distress.

This limitation applies even if a remedy fails of its essential purpose and even if Coatcha has been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot legally be excluded under Applicable Law.

20. Platform Records

You agree that Coatcha's electronic records, including Booking confirmations, payment records, communications, account activity, system logs, timestamps, and other Marketplace data, may be used as evidence in connection with disputes, investigations, legal proceedings, or enforcement of these Terms, subject to Applicable Law. The existence of electronic records does not prevent either party from presenting additional evidence where permitted by law.

21. No Professional Advice

Information made available through the Marketplace, including recommendations, search results, educational materials, rankings, reviews, or other content, is provided for general informational purposes only.

Unless expressly stated otherwise, Coatcha does not provide legal advice; financial advice; tax advice; medical advice; coaching advice; engineering advice; safety certifications; professional consulting services.

Marketplace Participants should seek advice from qualified professionals when appropriate.

22. AI & Automated Features

Coatcha may use artificial intelligence, machine learning, or automated systems to improve the Marketplace, including for search, recommendations, moderation, fraud detection, scheduling assistance, customer support, pricing insights, or other features.

AI-generated outputs may be incomplete, inaccurate, or unsuitable for your particular circumstances and should not be relied upon as the sole basis for decisions involving health, safety, finances, legal rights, or other significant matters. Unless expressly stated otherwise, AI-generated content is provided for informational purposes only and does not constitute professional advice or a guarantee of any outcome.

23. Search, Rankings & Featured Listings

Search results, recommendations, badges, featured Listings, rankings, or similar Marketplace features may be influenced by factors including relevance, availability, proximity, user preferences, reviews, responsiveness, subscriptions, promotional placements, verification status, and other Marketplace considerations.

Placement within search results or featured sections does not constitute an endorsement, certification, or guarantee by Coatcha. Coatcha may modify ranking methodologies at any time to improve the Marketplace.

Part V — Intellectual Property, Content & Privacy

24. Intellectual Property

The Marketplace, including its software, source code, object code, databases, user interface, designs, graphics, text, images, videos, audio, trademarks, logos, trade dress, documentation, technology, and all related intellectual property, is owned by or licensed to Really Popular LLC and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no ownership or intellectual property rights are transferred to any User.

24.1 Limited License

Subject to your compliance with these Terms, Coatcha grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Marketplace solely for its intended purpose. This license automatically terminates if your Account is suspended or terminated.

24.2 Trademarks

COATCHA™, Coatcha®, the Coatcha logo, slogans, graphics, icons, and related branding are trademarks or proprietary assets of Really Popular LLC or its licensors. You may not use our trademarks, logos, branding, domain names, or other identifying materials without our prior written consent, except as expressly permitted by Applicable Law.

24.3 Prohibited Uses

Unless expressly authorized in writing, you may not copy, reproduce, distribute, or sell any part of the Marketplace; modify or create derivative works from the Marketplace; reverse engineer, decompile, or disassemble the Marketplace except where prohibited by Applicable Law; scrape, harvest, or extract Marketplace data using automated means; interfere with Marketplace security or functionality; bypass access controls or technological protection measures; use the Marketplace to build a competing service.

24.4 Feedback

If you submit ideas, suggestions, comments, or other feedback regarding the Marketplace, you grant Really Popular LLC a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use, modify, publish, commercialize, and otherwise exploit that feedback without compensation or attribution.

25. User Content

Users retain ownership of the Content they submit to the Marketplace.

By submitting Content, you grant Coatcha a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host; store; reproduce; display; distribute; modify; translate; adapt; publicly perform; create derivative works from, such Content solely as reasonably necessary to operate, improve, secure, market, and provide the Marketplace.

This license continues for as long as reasonably necessary to fulfill these purposes and comply with Applicable Law.

25.1 User Representations

You represent and warrant that you own or have permission to use your Content; your Content does not violate another person's rights; your Content complies with Applicable Law; your Content is not fraudulent or misleading. You remain solely responsible for your Content.

25.2 Content Moderation

Coatcha may, but is not obligated to, review; monitor; restrict; remove; edit; disable; preserve; report, any Content that we reasonably believe violates these Terms, Applicable Law, or the integrity of the Marketplace. Failure to remove Content does not constitute approval or endorsement.

26. Reviews & Ratings

Reviews and Ratings should reflect genuine experiences. Users may not submit Reviews or Ratings that are false; misleading; fraudulent; abusive; defamatory; discriminatory; exchanged for undisclosed compensation; intended to manipulate Marketplace rankings.

Reviews represent the opinions of individual Users and do not constitute endorsements by Coatcha. Coatcha may remove Reviews or Ratings that violate these Terms.

27. Communications

The Marketplace may include messaging, notifications, scheduling tools, customer support, and other communication features.

Users are solely responsible for the communications they send through the Marketplace. Communications may not be used to harass; threaten; impersonate others; distribute malware; promote illegal activity; send spam; solicit off-platform transactions in violation of these Terms; violate Applicable Law.

To protect the Marketplace, Coatcha may retain, review, or filter communications where reasonably necessary to investigate fraud, enforce these Terms, comply with legal obligations, or protect Users. This does not mean that every communication is actively monitored.

28. Privacy

Our collection, use, storage, disclosure, and protection of personal information are governed by the Coatcha Privacy Policy, which is incorporated into these Terms by reference. By using the Marketplace, you acknowledge that personal information may be collected, processed, stored, and transferred as described in the Privacy Policy.

Where permitted by Applicable Law, information may be processed in jurisdictions outside your place of residence.

Coatcha implements reasonable administrative, technical, and organizational safeguards to protect personal information but cannot guarantee absolute security. Marketplace Participants who independently collect personal information from other Users remain solely responsible for complying with Applicable Law.

29. Electronic Communications & Signatures

By creating an Account or using the Marketplace, you consent to receive electronic communications from Coatcha, including Booking confirmations; receipts; customer support messages; security alerts; policy updates; legal notices; service announcements; marketing communications where permitted by Applicable Law.

Where permitted by Applicable Law, electronic records, electronic signatures, and actions such as clicking "Accept," "Continue," "Book," "Submit," or checking a consent box have the same legal effect as handwritten signatures.

You are responsible for maintaining a valid email address and promptly updating your contact information.

Part VI — Platform Operations & Legal Terms

30. Third-Party Services

The Marketplace may integrate with or provide access to third-party products and services, including payment processors, identity verification providers, mapping services, messaging platforms, cloud hosting providers, analytics services, insurance providers, social media platforms, and other technologies.

These third-party services operate independently and may be governed by their own terms, privacy policies, and business practices. Coatcha does not control and is not responsible for the availability, security, accuracy, performance, billing practices, or content of third-party services.

Links to third-party websites are provided solely for convenience and do not constitute an endorsement. Your use of third-party services is at your own risk.

31. Platform Availability

We strive to maintain a reliable Marketplace but cannot guarantee uninterrupted, secure, or error-free operation. The Marketplace may experience interruptions resulting from maintenance; software updates; internet failures; cyberattacks; equipment failures; third-party service outages; force majeure events; or other circumstances beyond our reasonable control.

Coatcha may modify, suspend, discontinue, or redesign any feature, service, pricing model, or functionality at any time. Where required by Applicable Law, we will provide reasonable notice of material changes.

31.1 Beta Features

From time to time, Coatcha may offer experimental or beta features. Beta features are provided "AS IS" without warranties and may be modified, suspended, or discontinued at any time. Your use of beta features is voluntary.

32. Suspension & Termination

Coatcha may suspend, restrict, or terminate Accounts or Marketplace access whenever reasonably necessary to enforce these Terms; investigate fraud or illegal activity; protect Users or the Marketplace; comply with Applicable Law or court orders; address payment issues; verify identity; prevent abuse; protect intellectual property; respond to security threats.

Users may close their Accounts at any time by following Marketplace procedures.

Termination does not affect obligations that arose before termination, including payment obligations, refunds, taxes, indemnification, dispute resolution, or any provisions that are intended to survive.

Coatcha may retain information where reasonably necessary to comply with Applicable Law; detect fraud; resolve disputes; enforce these Terms; protect Users; maintain business records.

33. Export Controls & Sanctions

You represent that your use of the Marketplace complies with Applicable Law relating to export controls, economic sanctions, anti-money laundering, and similar governmental restrictions. You may not use the Marketplace where prohibited by Applicable Law. Coatcha may suspend or terminate access where reasonably necessary to comply with these legal obligations.

34. Force Majeure

Coatcha is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, severe weather, pandemics, war, terrorism, civil unrest, cyberattacks, labor disputes, utility failures, internet outages, governmental actions, or similar events. Affected obligations are suspended only for the duration of the event.

35. Dispute Resolution

We encourage Marketplace Participants to resolve disputes informally whenever possible. If a dispute arises between you and Coatcha, you agree to first provide written notice describing the dispute and allow at least 30 days for good-faith discussions before initiating formal legal proceedings, unless Applicable Law requires otherwise.

If the dispute cannot be resolved informally, it will be resolved according to this Section and Applicable Law.

35.1 Arbitration (Optional)

Except where prohibited by Applicable Law, disputes between you and Coatcha may, at either party's election, be resolved through binding arbitration administered by a recognized arbitration provider, rather than in court. Arbitration will take place on an individual basis. Class actions, representative actions, and jury trials are waived to the fullest extent permitted by law.

Important: Arbitration clauses should be reviewed by counsel because their enforceability varies by jurisdiction and consumer protection laws.

35.2 Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except where Applicable Law requires otherwise.

If arbitration does not apply, the state and federal courts located in New York County, New York, shall have exclusive jurisdiction, unless Applicable Law provides otherwise.

36. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy and any policies expressly incorporated by reference, constitute the entire agreement between you and Coatcha regarding the Marketplace.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Coatcha's prior written consent. Coatcha may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

No Waiver

Failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

Interpretation

Section headings are provided for convenience only and do not affect interpretation. Words such as "including" and "includes" mean "including without limitation." The singular includes the plural, and vice versa, where the context requires.

Survival

The following provisions survive termination of these Terms:

  • Payments
  • Taxes
  • Intellectual Property
  • User Content
  • Assumption of Risk
  • Release of Liability
  • Indemnification
  • Limitation of Liability
  • Privacy obligations
  • Dispute Resolution
  • Governing Law
  • Any provision that, by its nature, should survive termination.
